Current Constitution

The Friends of the Britannia Panopticon Music Hall Trust was created in 1999. You can read the original Constitution (scanned in PDF). I have also transcribed the text in a Word-compatible document, the contents of which are reproduced below. There has to date been no amendment to this Constitution. [Chris Young, 15/11/2011]


  1. Name
  2. The name of the Society shall be the Friends of The Britannia Panopticon Music Hall Trust.


  3. Objects

  4. The objects of the Society shall be to promote the charitable objects of The Britannia Panopticon Music Hall Trust and in furtherance thereof:-

    1. To support The Britannia Panopticon Music Hall Trust.
    2. To obtain from public benevolence by means of subscriptions, donations, bequests or otherwise gifts of money or of equipment and other tangible items in order to support the functions of The Britannia Panopticon Music Hall Trust.


  5. Membership and Subscriptions

    1. Membership shall be open to all interested on payment of the minimum subscription as decreed by the Committee.

    2. Details of the subscription rates shall form an addendum to the Constitution.

    3. The Committee shall have the power from time to time and if they deem it beneficial to vary the subscription.


  6. Management

  7. The affairs of the Society shall be managed by a Committee consisting of:

    • Chairman (to be nominated by the Trustees of The Britannia Panopticon Music Hall Trust).
    • Treasurer
    • Honorary Secretary
    • Fund Raising Co-ordinator
    • Three Members of the Society

    Four members present at any meeting shall constitute a quorum.

    The Committee shall be empowered to co-opt additional members as required for specific purposes.



  8. Powers and Duties of the Committee

    1. To appoint Auditors
    2. To conduct and manage the business and affairs of the Society working in cooperation with the Trustees of The Britannia Panopticon Music Hall Trust.
    3. To submit to the Annual General Meeting the Annual Report of the Society.
    4. To be responsible for the Annual Accounts of the Society made up to the end of financial year prior to their submission to the Annual General Meeting. The financial year shall coincide with that of The Britannia Panopticon Music Hall Trust and the first Accounts shall be drawn so as to conform.
    5. To call an Extraordinary General Meeting where the same has been duly requisitioned or deemed necessary by the Committee.

  10. Annual General Meeting

  11. The Annual General Meeting of the Society shall be held not later than 31 July and at least seven days' notice of the meeting shall be given by public advertisement or otherwise as shall seem appropriate to the Committee. The business to be conducted shall include consideration of the Annual Report of the Committee and consideration of the Annual Accounts.



  12. Extraordinary General Meeting

  13. An Extraordinary General Meeting may be called by the Committee giving at least seven days' notice to discuss specific business. Thirty paid-up members may requisition such a meeting by serving written notice on the Committee per the Secretary who shall be bound to call the same within one month of receiving the requisition.



  14. Disposal of Funds

    1. Membership or affiliation will not entitle any natural or legal person, to any share in the income or assets of the Society and the whole of the income of the Society shall be expended on the objects set out in Article (2) of the Constitution.

    2. If the Society is wound up, any funds remaining after the liabilities have been met shall be transferred to The Britannia Panopticon Music Hall Trust.



  15. Amendment to Constitution

  16. This Constitution may be amended by any Annual General Meeting or Extraordinary General Meeting of the Society called at not less than one month's notice and supported by two-thirds of those present and voting. The Notice of the Meeting shall state the terms of the proposed amendment.
